Please read these Terms of Service (“Terms”) carefully before using the ProGrid National website and services (the “Services”) operated by ProGrid National (“we,” “us,” or “our”).

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you do not have permission to access the Services.

 

1. About ProGrid National

ProGrid National is a free referral service that connects homeowners and businesses with independent, local service contractors for appliance repair and related home services. We do not perform repairs, employ technicians, or guarantee the quality of work performed by independent contractors. All service providers in our network are independent third-party businesses responsible for their own work, licensing, insurance, and customer satisfaction.

 

2. No Warranties or Guarantees

ProGrid National makes no representations, warranties, or guarantees regarding the quality, reliability, timeliness, or performance of any service provider in our network. We do not warrant that:

  • Service providers will meet your expectations or requirements
  • Services will be performed in a timely, safe, or error-free manner
  • Service providers maintain proper licenses, certifications, or insurance
  • Any particular service provider will be available in your area
  • The Services will be uninterrupted, secure, or free from errors

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

 

3. User Responsibilities

By using our Services, you agree to:

  • Provide accurate and complete information when requesting service referrals
  • Verify the licenses, certifications, and insurance of any contractor you hire
  • Negotiate pricing, scope of work, and payment terms directly with service providers
  • Comply with all applicable laws and regulations
  • Not use the Services for any unlawful or fraudulent purpose
  • Not attempt to interfere with or disrupt the Services

 

4. Independent Contractors

All service providers in the ProGrid National network are independent contractors. They are not employees, agents, or representatives of ProGrid National. ProGrid National does not:

  • Control how service providers perform their work
  • Set pricing for services performed
  • Guarantee availability of any particular service provider
  • Supervise, direct, or manage service providers
  • Assume responsibility for actions or omissions of service providers

 

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGRID NATIONAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Services
  • Any conduct or content of any service provider or third party
  • Unauthorized access to or alteration of your information
  • Any work performed or not performed by service providers
  • Property damage, personal injury, or death arising from services performed
  • Any other matter relating to the Services

IN NO EVENT SHALL PROGRID NATIONAL’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).

 

6. Indemnification

You agree to defend, indemnify, and hold harmless ProGrid National and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Any dispute between you and a service provider
  • Any work performed by a service provider you hired through our Services

 

7. Telephone Consumer Protection Act (TCPA) Compliance

By providing your phone number to ProGrid National, you expressly consent to be contacted by us and independent service providers in our network regarding your service request. This consent includes:

  • Phone calls (including calls using automated telephone dialing systems)
  • SMS/text messages
  • Pre-recorded or artificial voice messages
  • Contact even if your number is on a state or federal Do Not Call registry

Standard message and data rates may apply. Consent is not a condition of using our free referral service. You may revoke consent at any time by:

  • Replying STOP to any text message
  • Contacting us directly to request removal
  • Following opt-out instructions in any communication

Carriers are not liable for delayed or undelivered messages.

 

8. Pricing and Payment

ProGrid National does not set, control, or collect payment for services performed by independent contractors. All pricing, quotes, estimates, diagnostic fees, and payment arrangements are between you and the service provider you choose to hire. You are solely responsible for:

  • Negotiating pricing with service providers
  • Verifying cost estimates before authorizing work
  • Making payment directly to the service provider
  • Resolving any billing disputes with the service provider

 

9. Dispute Resolution with Service Providers

Any disputes regarding services performed, pricing, quality of work, property damage, or other issues must be resolved directly between you and the service provider. ProGrid National is not a party to any agreement between you and service providers and has no obligation to mediate, arbitrate, or resolve such disputes.

 

10. Intellectual Property

All content on the Services, including text, graphics, logos, images, and software, is the property of ProGrid National or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, copy, reproduce, modify, or distribute any content from the Services without our prior written permission.

Third-party brand names and trademarks (including appliance manufacturer names and logos) are the property of their respective owners. ProGrid National is not affiliated with, endorsed by, or an authorized service provider for any appliance manufacturer.

11. Third-Party Links

The Services may contain links to third-party websites or services that are not owned or controlled by ProGrid National. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

12. Geographic Availability

Service availability varies by location. We do not guarantee that service providers will be available in all areas or for all appliance types. Same-day or next-day service availability depends on contractor capacity and is not guaranteed.

13. Modifications to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

14. Termination

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Services will immediately cease.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProGrid National regarding the Services and supersede all prior agreements and understandings, whether written or oral.

18. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and ProGrid National’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Services.
